Mergers and Acquisitions

Mr. Tucker has advised on more than 50 M&A transactions, including mergers, stock purchases/sales, asset sales and other corporate reorganizations.  Transactions have included private equity firm acquisitions and divestitures for some of the largest PE firms in the U.S., strategic acquisitions by horizontal or vertical industry competitors, pre-IPO roll-up transactions and post-IPO divestitures and spinoffs and public/public and public/private mergers.

Mr. Tucker can provide assistance with letters of intent, deal structuring and negotiations, due diligence processes, definitive transaction documents, executive compensation and employee retention issues, managing outside counsel, bankers and auditors, post-merger planning and combined organization culture issues.

In his capacity as General Counsel of a Nasdaq listed financial services company, he led the M&A process in 20 acquisitions and divestitures over 12 years and structured and executed asset purchases and sales of more than $2 billion of assets.

 

In addition to assisting CEOs, CFOs and boards in understanding the nuances, risks and mitigation strategies related to M&A transactions, Mr. Tucker has also taught courses on mergers and acquisitions and private equity transactions for many years at the Chicago-Kent Law School and Illinois Institute of Technologies MBA program.

Startup Company Formation

Mr. Tucker has formed numerous start-up companies, either as a co-founder or outside counsel, ranging in business sectors from financing the creator economy through the use of blockchain technology and the formation of a crowdfunding platform, to an IT security business, computer hardware and software businesses, cafes/microbreweries futures and options trading platforms and market data providers to LED lighting and consumer goods.

Mr. Tucker has represented venture capital firms, management teams, angel investors and exiting shareholders, drafted business plans, articles/certificates of incorporation, bylaws, operating agreements, equity plans, executive and employee employment, technology transfer agreements, confidentiality agreements, leases and other agreements common to start-ups.

In addition to courses on M&A and private equity, Mr. Tucker also taught courses on venture capital transactions at the Chicago-Kent Law School and Illinois Institute of Technologies MBA program.

Debt/Equity Capital Formation

Mr. Tucker has structured, negotiated and closed more than 100 debt and equity financing transactions, including friends & family rounds, angel rounds, VC rounds, crowdfunded offerings under Rule 506, preferred stock and convertible note offerings, IPOs and secondary market transactions.  As part of these transactions Mr. Tucker has worked with many of the largest Wall Street and regional investment banking firms, Chicago and New York law firms and the Big Four and mid-market auditing firms.

Business Planning and Growth

Mr. Tucker has advised or otherwise been instrumental in strategic planning and business development in a number of organizations, including forming and managing the largest business  relationship at his financial services company, which he took from less than $50 million at inception to more than $1 billion in assets.  He has also created or edited numerous business plans and other strategic planning proposals, private placement memorandums and IPO prospectuses.  

Advising Corporate Boards

Mr. Tucker has been called upon to render strategic advice to many public and private boards of directors, including with respect to internal business and operations issues, business partnerships, executive separations and regulatory matters.  Mr. Tucker has advised on and/or negotiated issues and resolutions with a variety of government agencies, including the SEC, NASDAQ, FINRA, the Federal Reserve Board, the Treasury Dept., GNMA, the FHLB and HUD.

Intellectual Property and Customer/Vendor Agreements

Mr. Tucker has negotiated 100s of commercial agreements for the license, sale, manufacturer or purchase of goods and services across a wide range of industries.

Assistance with Cross-Border Transactions

Mr. Tucker has travelled extensively and worked in many European and Southeast Asian countries, including two years (collectively) in South Korea, Taiwan and Japan and three years in China.  He has gained intimate knowledge of the differences in cultures, negotiating styles, business manners and business cultures between the U.S. and other countries, and has counseled numerous American and foreign business executives on their cross-border relationships.
